1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the FHO+ Hourly Care Tracker (the “Service”), a web-based billing-support tool operated by Northside Solutions (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who Can Use the Service

The Service is intended for licensed Ontario family physicians participating in a Family Health Organization Plus (FHO+) compensation model who wish to track their hourly-rate claimable hours. You must be at least the age of majority in Ontario and legally able to enter into a binding contract. By creating an account, you confirm that the information you provide is accurate and that you are authorised to use the Service for your own billing records.

3. No Medical, Legal, or Billing Advice

The Service is a calculation and record-keeping tool, not professional advice. It helps you compute maximum allowable indirect care hours and perform compliance checks based on published Ministry of Health (MOH) rules and the Physician Services Agreement in effect at the time the Service was built. It does not constitute medical, legal, accounting, or billing advice. You remain solely responsible for:

Important: Do not enter any patient-identifying information (names, dates of birth, health card numbers, diagnoses, etc.) into the Service. The Service is designed to track your hours worked, not patient health information.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for any activity under your account. Notify us immediately at support@fhohourtracker.ca if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms, misuse the Service, or appear compromised.

5. Free Trial

New accounts receive a 14-day free trial with full access to the Service. No payment method is required to start the trial. Access beyond the trial period requires an active paid subscription.

6. Subscription, Billing, and Taxes

Paid subscriptions are billed in Canadian dollars (CAD) through Stripe. You authorise us (via Stripe) to charge your payment method on a recurring basis until you cancel. Applicable taxes (including Ontario HST at the rate in effect at the time of billing) will be added to the subscription price. Prices may change on future renewals with reasonable advance notice via email or in-app notice.

7. Cancellation and Refunds

You may cancel your subscription at any time from the Settings page in the app. Cancellation stops future renewals; your access continues until the end of the current billing period. Except as required by law, fees already paid are non-refundable. If you believe you have been billed in error, contact support@fhohourtracker.ca.

8. Your Data

Hours you log and related account information are stored in our database (hosted by Supabase on infrastructure located in North America). We use commercially reasonable safeguards to protect your data, including encryption in transit (HTTPS). You retain ownership of the data you enter. You may export your records to PDF at any time from within the Service, and you may request account deletion by contacting support.

We do not sell your personal information. We may use aggregated, de-identified usage statistics to improve the Service.

The Service, its software, design, branding, and content (excluding data you enter) are the property of Northside Solutions and its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own practice while your account is in good standing.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that calculations reflect every edge case of MOH policy, that the Service will be uninterrupted or error-free, or that results will be accepted by any billing authority. Use of the Service is at your own risk, and you are responsible for independently verifying any figures before relying on them.

12. Limitation of Liability

To the maximum extent permitted by law, Northside Solutions and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, profits, data, or billing entitlements arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service shall not exceed the fees you paid us in the six (6) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Northside Solutions from any claim, loss, or demand (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your submission of billing claims to the MOH or any third party.

14. Changes to the Service and Terms

We may modify or discontinue features of the Service at any time. We may also update these Terms from time to time; material changes will be communicated by email or in-app notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute shall be submitted to the exclusive jurisdiction of the courts located in Ontario.
